Definitions

According to here under indicated the following definitions shall have the meaning as listed below:

* CUSTOMER: Subject that, in any means, transmits to Esimple Inc. a purchase order for products sold through the site.
* CONSUMER: The actual person that in relation to the contract acts for purposes which are eventually done outside the commercial, professional or business activities.
* CONTRACT: The contract of remote sale, as described and regulated by Legislative Decree no. 185/99 concluded between ESIMPLE S.r.l. and the CUSTOMER.
* SITE: The Internet site www.virtuy.com through which the sale of products by Esimple Srl is made.

1. Introduction
The trade relations between the company Esimple Ltd. (henceforth referred to as "supplier") and its customers (henceforth referred to as "client") are governed exclusively by the following conditions of sale. They exclude any other agreement, if not agreed to in writing, signed by the customer and by our trade officials. These rules apply to all purchase orders, regardless of the means of transmission.
2. Conclusion of the Contract and acceptance of the General Conditions of Sale
The Contact shall be considered concluded between Esimple Sr.l. and the customer with the acceptance, even if only partial, of the order on behalf of Esimple Inc., occurred with the modalities set out in paragraph 5. The customer, every time it makes an order for the purchase of products through the SITE, hereby confirms that it has carefully inspected all the indications given during the purchase process and accepts the general sales conditions and payment described in this document. Following the Arts. 3 and 4 of Legislative Decree 185/99 regarding remote selling the Client who makes the purchase as a Consumer is required, once completed the purchase process, to print and / or save on a long lasting medium of their choice and, anyway, to keep this present document containing the General Conditions of Sale. Under no circumstances Esimple S.r.l. will be liable for damages or compensation required by the Consumer, will also be free of any contractual or non-contractual liability, directly or indirectly, for any direct or indirect damage to persons and / or property resulting from failure of acceptance, even if only partial, of an order.

3. Responsibilities
The supplier is not responsible for any loss or damage, direct and / or indirect, arising from the sale of goods and services proposed in the catalogue published on the site www.virtuy.com neither for delayed and / or non-delivery of the product, nor for the correspondence to the specifications of the goods in the site, nor for any other matter that is not attributable directly to the supplier.

4. Technical Information
The technical information included in the site www.virtuy.com has been taken from data sheets published by dealers and manufacturers of goods in our catalogue. Therefore, the supplier reserves the right to change / adapt technical information and size of the products list, as possibly communicated by the producers, even without any notice.

5. Orders
Orders are accepted only in writing, by fax or through the Internet. The customer that sends orders via the Internet will receive, at the end of the procedure, a confirming receipt notice, via e-mail, indicating the number assigned to each order. In the event that after the customer sends the order the serial number of the proposal does not appear twenty-four hours after it will be considered not accepted, in any operation of law, even if for reasons of accounting, administration or lack of product.

6. Prices
All prices listed on sites, are expressed inc VAT (where not expressly indicated). The prices and promotions can be modified at any time without notice.

7. Availability products
In the list of products published on the website of the supplier are highlighted availability, updated in real time, of the available products. Since the access and the ability to submit orders online, changes in real time the availability of the product, the supplier can not guarantee the certainty of allocation of goods ordered.

8. Risk and property
The goods are shipped in free port, with charges in the bill of the related costs. Upon receipt of goods, the customer must verify the integrity of packages and correspondence with quantities and qualities as indicated in the transport document (Fattura Accompagnatoria). In case of discrepancy, the same should be reported, on the same transport document, of which a copy shall be issued to the carrier, and confirmed to the supplier by fax or letter with return receipt. Even if the packaging is intact, the shipment will be checked as soon as possible and no later than 7 (seven) days upon receipt. Any anomalies not found during the verification upon receipt of intact packaging, should be reported in writing by fax or letter with return receipt within 7 (seven) days of receipt. Any report that reaches the supplier passed that period, can not be taken into account. For each statement, the customer assumes full responsibility for what is said. In cases where the goods were sent with secured shipping as instructed by the client, the risk is to be considered on behalf of the courier from the moment of delivery of goods to the carrier from it’s warehouses.

9. Payments
The goods must be paid via bank transfer advance, credit card, paypal.

Esimple s.r.l. reserves, in its sole discretion, the right not to proceed with the shipment of goods, even after accepting the order, to customers who prove outside exposure, meaning with outstanding payments or, in litigation.

10, Right to cancellation of orders
The customer may request the annulment of the order and the supplier and can accept the annulment of the same by giving written confirmation to the customer. The possibility of cancellation is excluded to the customer in the event that the goods have been expressly ordered by the supplier to its suppliers and they do not accept, in turn, the annulment of the order.

11. Returning Goods
The return of goods to the supplier, should be requested in writing, with an indication of the reasons for the request, expressing the references of the invoice. The return of goods is to be carried out under authorization and given the "return number" by the RMA procedure published on the site, signed and sent by fax to 0575 1949934. The goods to be returned, should be in perfect condition, in their original packaging and sent into free port to our warehouse, stating on the document, the number of assigned re-entry.

12. Complaints
Any errors or omissions of shipment of material must be reported in writing, in the manner and terms set out under "Risk and properties."

13. Guarantees
The purchase of material from the supplier, involves the acceptance of the conditions of guarantee provided by the manufacturer, which may be independent to the will of the service provider. The customer is therefore aware that the goods purchased will be guaranteed by the manufacturer and the conditions provided by the same, and agree upon, therefore, removed any reservation, all the methods of supply of the guaranteed goods of the producer, also with reference, as a simple example, to the subject who manages the guarantee also different from the supplier.

14. Copyrights
All rights reserved. Texts, images, graphics, sound files, animation, video and disposition of themselves and their adaptations on the site are subject to the laws on intellectual property and protected by copyright and intellectual property rights. These objects can not be copied for commercial use or distribution, nor may be edited, published, copied or used on other websites. 20. Return Policy
According to Art. 5, Leg. 185/99, the customer who is qualified Consumer has free and unconditional right to cancel the contract without penalty within 10 (ten) working days from the day of receipt of goods. For the proper practice of law in question, the Customer shall send to Esimple Inc. Piazza G. Monaco 7 52100 Arezzo within the period indicated a communication by letter with return receipt or by telegram or fax number 05751949934 subsequently confirmed by registered letter with acknowledgment of receipt sent within the next 48 hours, also indicating the bank account for the sum of chargeback; failure to comply with the formalities and deadlines make it impossible to exercise the right in question. Upon receipt of the communication concerning the exercise of the right of withdrawal Esimple Srl will contact the customer to inform the way to proceed to return the property, where they are already delivered, to be carried out without delay within 10 working days from receipt of the communication of the instructions for the return. Not later than 15 days from receipt of goods returned Esimple Srl will debit the sum received by bank transfer with the coordinates specified by the customer, retaining, in accordance with law, the cost of transportation for the inherent drawback, if not borne directly by the customer, and any costs for the restoration of the original package If damaged. As art. 5 paragraph 3 and art. 7, Leg. 185/99 remain excluded from the right of withdrawal:

* The supply of goods made to size or clearly customised which, by their nature, can not be returned or are liable to deterioration or deteriorate rapidly.
* The provision of audiovisual products or software that were unsealed by the consumer.
* The provision of newspapers, periodicals or magazines.
* Contracts for the supply of services related to housing, transport, catering, leisure, when at the conclusion of the contract, these services are provided on a specific date or period.

You can not exercise the withdrawal of only a part of the product purchased. The Product purchased must be returned in its original packaging including foam, any parts of the goods and documentation (instructions, batteries, cables, etc.) and should not be damaged for reasons other than transportation, otherwise there is the risk of revocation of the right of withdrawal. The Product should be carefully packed in a second box so as not to damage the original packaging affixing labels or adhesive tapes. The responsibility for the product is borne by the Consumer until the final delivery to Esimple Srl, unless the refund is done by courier or shipping agent authorized directly by Esimple Corp.. In the event that the goods are returned by courier sent directly by the customer was damaged during transport during the return, Esimple Srl will notify the customer within 5 working days from receipt of goods, of the fact in order to allow the customer to contest what happened to the courier chosen by him and activate the related procedures for compensation and / or indemnification, and will make available to the customer the goods for its’ return and will cancel the request for withdrawal. In any case Esimple S.r.l. won’t respond in any way to damage and / or loss of property returned with shipments not insured. Upon receipt of the goods at the warehouse, Esimple Srl will provide controls on the goods to insure integrity, and if these prove bad for reasons other than transportation or without the original packaging including internal wrapping or moreover without accessorial parts of the goods delivered (instructions, batteries, cables etc.) it will promptly inform the customer by pleading the revocation, for the effect, of the withdrawal right, and proceed with the return to the Customer debiting subsequent shipping.

21. Privacy
According to Art. 13, Law. 196/2003 personal data communicated by the customer is collected by telemetric means, paper means and elaborated through manual processing, computer and telemetric tools, such data will not be communicated to others unless societies directly related to Esimple Srl, couriers and freight forwarders for the needs related to the delivery of goods, services and organizations and agencies for the sole purpose of being able to send e-mail on the contributions collected. The data provided through the request form, will be treated to meet the expressed wishes of the Customer and comply with legal obligations related to rules of civil law, tax, accounting, for administrative management, as well as for sending commercial information or advertising material, informational, promotional or sales, for collection points to perform demonstrations in prize and promotional initiatives in general. Personal data held by the company Esimple Srl are supplied directly and personally at the time of registration through the request form or in the order form. The provision of data is optional, it is understood that some data required, namely those marked with an asterisk, are required in order to meet the order and, it follows that, if not supplied, their absence will not allow the completion of the purchase procedure and, therefore, sending the order. Please note, however, that even in the event that for whatever reason, the purchase procedure could be completed without the information required, the order received in this way can not be accepted and will not go ahead if not as a result of an integrative communication by the customer who corrects the omission, upon the receipt of which all subsequent contract terms described in these conditions will gain effectiveness and follow due course. 22. Governing Law and Jurisdiction
The sales contract concluded between the customer and Esimple Srl shall be deemed concluded in Italy and governed by Italian law, particularly by the provisions of the Civil Code, Law. 185/99 on remote selling contracts, Leg. 70/2003 concerning the contracts concluded by electronic means and any additions and changes. For the resolution of all disputes arising under the contract of sale between Esimple Srl and the customer, subject to the provisions in favour of those who buy as Consumers will be exclusively competent the Juridical Offices of the Forum of Arezzo.
